Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING FLIP HOUSE NETWORK, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Acceptance of Terms
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Flip House Network ("Company", "we", "us", "our"), a platform operating under Phoenix Securitas and the Phoenix Ecosystem, regarding your access to and use of the Flip House Network platform, applications, APIs, and related services (collectively, the "Service").
By creating an account, clicking "I Agree," connecting a device or utility account, participating in the Beta Program, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email, in-app notification, or by updating the effective date above. Your continued use of the Service after any modification constitutes your acceptance of the updated Terms.
1.1 Electronic Consent
You agree that your electronic acceptance of these Terms - including clicking "I Agree," checking a consent box, signing electronically, or continuing to use the Service after notice of updated Terms where permitted by law - constitutes your legal signature and has the same force and effect as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state electronic signature laws.
2. Definitions
The following terms are used throughout this Agreement with the meanings given below. Additional defined terms appear in context where first introduced.
- "Connector" means the proprietary software interface through which Flip House Network accesses data from a third-party device or utility service. Each Connector implements a standardized method set governing how data is requested, received, processed, and stored.
- "Data Marketplace" means the Flip House Network platform through which aggregated, de-identified Metadata and, with separate consent, individual household Metadata are intended to be made available to enterprise buyers.
- "GRESH" means the coordination asset issued on the Solana blockchain as part of the Gremium Network ecosystem, used as a contribution recognition mechanism within the Phoenix Ecosystem. GRESH is not an investment vehicle, security, or currency.
- "Household Administrator" means the User designated as the primary account holder responsible for managing device connections, consent elections, and authorized household members for a given property.
- "Household Intelligence" means the insights, estimates, scores, flags, and other analytical outputs generated by applying automated analysis to Metadata collected from your connected devices and services. Household Intelligence outputs are probabilistic estimates, not definitive statements of fact.
- "Metadata" means information describing the operation or state of a connected device or service - such as timestamps, usage measurements, device type, connectivity status, event duration, or consumption readings. Metadata does not include the contents of communications, recordings, messages, images, video, documents, voice commands, or browsing activity.
- "Service" means the Flip House Network platform, applications, APIs, Connectors, Household Intelligence outputs, Data Marketplace, and all related services operated by Flip House Network.
- "User," "you," and "your" refer to the individual or entity that has accepted these Terms and is accessing or using the Service.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age;
- Have the legal capacity to enter into a binding contract in your jurisdiction;
- Reside in a jurisdiction where the Service is available;
- Not be barred from receiving services under applicable law; and
- Provide accurate, current, and complete information during registration.
Only individuals 18 years of age or older may register for or hold an account. The Service is not directed to children under 13, and we do not knowingly permit them to use it. A minor aged 13 to 17 may access the Service only through, and with the authorization and supervision of, a Household Administrator or parent or legal guardian who holds the account and accepts these Terms on the household's behalf. That adult assumes full responsibility for the minor's access and use.
By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to suspend or terminate accounts where eligibility cannot be verified.
4. Account Registration and Security
4.1 Registration
To access the full features of the Service, you must create an account. You agree to provide accurate, complete, and current registration information and to update such information as necessary to keep it accurate.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activity that occurs under your account;
- Notifying us immediately of any unauthorized access or use of your account at privacy@fliphousenetwork.com;
- Ensuring that you log out of your account at the end of each session on shared devices.
Flip House Network will not be liable for any loss or damage arising from unauthorized use of your account where you have failed to maintain the security of your credentials.
4.3 One Account Per Household
Each property may designate one primary Household Administrator. The Household Administrator is responsible for account management, device connections, data consent decisions, and compliance with these Terms. The Household Administrator may invite additional authorized household members - including spouses, domestic partners, adult children, roommates, property managers, or other authorized persons - to access the account with defined permissions. This model is designed to accommodate diverse household configurations, including rental properties, vacation homes, and multi-occupant residences. All authorized household members are bound by these Terms, and the Household Administrator is responsible for ensuring their compliance.
4.4 Account Accuracy
You may not impersonate any person or entity, misrepresent your affiliation with any person or entity, or provide false information in connection with your account. We reserve the right to reclaim or terminate accounts that are found to contain inaccurate or misleading information.
5. Connecting Third-Party Services
5.1 Authorized Connections
Flip House Network enables you to connect data from any internet-connected smart device or sensor located at or associated with your property, whether installed indoors or outdoors, as well as utility services and related platforms. The network is designed to be device-agnostic: if a device has a digital interface and generates metadata, it is eligible for connection. Eligible devices and services include but are not limited to:
- Utility Data Services: Smart Meter Texas (AMI/AMR meter data), EyeOnWater (water consumption), and similar utility data programs;
- Indoor Smart Home Devices: Smart hubs and controllers (Ring, Samsung SmartThings, Google Home, Amazon Alexa, Home Assistant), smart locks, indoor cameras (metadata only - see Section 7), smart lighting, plugs and switches, and similar indoor connected devices;
- Outdoor Smart Devices: Outdoor security cameras (metadata only - see Section 7), smart doorbells, outdoor motion sensors, smart irrigation controllers, weather stations, soil moisture sensors, outdoor lighting systems, and similar exterior connected devices;
- Network Infrastructure: Home router and mesh network systems, Wi-Fi access points, and other network equipment providing bandwidth and connectivity metadata;
- HVAC, Appliance, and Environmental Sensors: Smart thermostats, energy monitors, air quality sensors, water leak sensors, indoor and outdoor environmental monitors, and similar devices;
- Solar, Battery, and Grid-Edge Devices: Rooftop solar inverters, home battery systems, EV chargers, smart meters, and grid-edge monitoring devices;
- Other Connected Property Devices: Any additional internet-connected device or sensor located at the property that generates operational metadata, regardless of whether it is listed above. The foregoing examples are illustrative and not exhaustive.
5.2 Connector Architecture
Connections to third-party services are established through our proprietary Connector system, which operates on two primary rails: (a) the Utility Data Rail for accessing utility account data, and (b) the Smart Home Device Rail for interfacing with in-home devices and platforms. Each Connector implements a standardized interface that governs how data is requested, received, processed, and stored.
5.3 User Authorization
By connecting a third-party service, you represent and warrant that:
- You are the account holder of record for the connected service, or you have received explicit authorization from the account holder to connect that service;
- You are the legal owner or authorized resident of the property at which connected devices are installed;
- You have the right to share data from those services with Flip House Network to the extent provided in these Terms and the Privacy Policy;
- Connecting the service does not violate any agreement you have with the third-party service provider.
You may not connect accounts or devices belonging to others without their express written consent. Connecting accounts or devices to which you are not authorized is a material breach of these Terms and may result in immediate termination of your account and referral to appropriate authorities.
5.4 Third-Party Service Terms
Your use of third-party services remains subject to the terms, conditions, and privacy policies of those services. Flip House Network does not control and is not responsible for the practices, policies, or conduct of third-party services. We encourage you to review the terms and privacy policies of any service you connect to Flip House Network.
5.5 Changes to Third-Party Services
Third-party services may modify their APIs, data access policies, or terms at any time, which may affect our ability to maintain connections. We will make reasonable efforts to restore affected connections but cannot guarantee continuity of access to any particular third-party service.
6. Data Collection and Privacy-First Architecture
6.1 Our Data Philosophy
Flip House Network is built on a principle of homeowner control. You decide what devices to connect, what data to share, and whether to participate in individual data programs. You can disconnect any service at any time and revoke consent for individual data sharing at any time. You own your data.To sustain the platform and deliver value back to homeowners, Flip House Network intends to operate a Data Marketplace. Aggregated, de-identified metadata derived from participant households may be made available to enterprise buyers such as utilities, researchers, and real estate analytics firms. This aggregated data does not identify you personally and participation in aggregated data sales is a condition of using the Service. Separately, and only with your affirmative opt-in consent, individual household metadata may be made available to buyers through the Marketplace - and participation may entitle you to rewards or future GRESH coordination asset allocations as described in Section 10.We collect only the data necessary to operate the Service and Marketplace. We never collect the categories of information listed in Section 7, and we never sell personal information as defined in Section 9.7.
6.2 What We Collect
For purposes of these Terms, "Metadata" means information describing the operation or state of a connected device or service - such as timestamps, usage measurements, device type, connectivity status, event duration, or consumption readings. Metadata does not include the contents of communications, recordings, messages, images, video, documents, voice commands, or browsing activity. All data collected by Flip House Network consists of Metadata as defined here. We collect and process the following categories of Metadata:
- Usage Metadata: Timestamps, frequency of device activity, duration of events, and similar behavioral metadata from connected devices;
- Consumption Data: Energy usage (kWh), water consumption (gallons), and similar resource consumption metrics from connected utility services;
- Device Metadata: Device type, manufacturer, model, firmware version, and connectivity status - but not the content of communications transmitted through those devices;
- Network Metadata: Bandwidth utilization, device count, and connectivity patterns - but not packet content, destination URLs, or browsing activity;
- Account Information: Information you provide during registration and account management;
- Service Interaction Data: Log data, error reports, and feature usage patterns related to your use of the Service.
6.3 Transient Identifiers
Certain technical identifiers - such as device MAC addresses, meter IDs, account reference numbers, and similar tokens - may be processed transiently during the establishment of connections and the validation of data sources. Where possible, these identifiers are hashed, pseudonymized, or removed before long-term storage, in accordance with our Privacy Policy. No transient identifier is retained longer than operationally necessary.
6.4 Data Minimization Commitment
We are committed to the principle of data minimization. We do not collect or retain data that is not necessary to provide the Service, generate Household Intelligence, or fulfill our legal obligations. We regularly review our data collection practices and work to reduce collection scope over time.
6.5 Security Practices
Flip House Network implements reasonable technical and organizational security measures designed to protect your data against unauthorized access, disclosure, alteration, and destruction. Our current and planned security practices include:
- Encryption of data in transit (TLS) and encryption at rest through our infrastructure providers;
- Least-privilege access controls limiting internal access to data on a need-to-know basis;
- De-identification and pseudonymization of data before long-term storage, so that stored records are not linked to your name, address, or account credentials; and
- As the Service moves toward commercial launch, multi-factor authentication for administrative access and audit logging of access to sensitive data systems.
No security system is impenetrable. In the event of a data breach affecting your personal information, we will notify you as required by applicable law. You are responsible for maintaining the security of your account credentials as described in Section 4.2.
7. What We Do Not Collect
Flip House Network explicitly does not collect, access, process, or store the following categories of information:
- Video Content: No video footage, images, or visual content captured by cameras, doorbells, or other recording devices, even if those devices are connected to the Service. Device metadata (e.g., motion event timestamps) may be collected, but not the visual content of recordings.
- Audio Content: No audio recordings, voice commands, or sound captured by microphones, smart speakers, or other audio-enabled devices. We do not access the content of voice assistant interactions.
- Passwords and Authentication Credentials: We do not store your passwords for connected third-party services. Connections are established through OAuth, API tokens, or other delegated authorization mechanisms where the underlying credential remains with the third-party service.
- Private Messages: We do not access, read, or store any private messages, emails, texts, or other communications - including those transmitted through smart home messaging features.
- Browsing History: We do not collect or access your internet browsing history, search history, or the content of your internet traffic, even when network metadata is collected.
- Personal Content: We do not access or collect personal files, documents, photos, calendar entries, contacts, or other personal content stored on connected devices.
- Biometric Data: We do not collect fingerprints, facial recognition data, voice prints, or other biometric identifiers.
- Health and Medical Data: We do not intentionally collect health records, medical device data, or other health-related personal information (note: certain environmental data such as air quality readings may be collected as device metadata and is governed by our Privacy Policy).
This Section represents our categorical commitment. Any future change to these limitations will be treated as a material change to these Terms and will require your affirmative consent.
8. Household Intelligence
8.1 Nature of Household Intelligence
Flip House Network analyzes metadata from your connected devices and services to generate insights about household activity, resource usage, efficiency patterns, anomaly detection, and other observable patterns. We refer to these outputs collectively as "Household Intelligence."
Household Intelligence is generated using statistical models, machine learning, artificial intelligence, and other automated analytical techniques applied to Metadata collected from your connected devices and services. These techniques identify patterns and generate estimates; they do not observe your home directly. Household Intelligence outputs are probabilistic estimates, not definitive statements of fact. Examples of Household Intelligence outputs include:
- Estimated occupancy patterns based on device activity metadata;
- Anomaly flags that may suggest water leaks, unusual energy consumption, or other irregular patterns;
- Efficiency scores and resource usage benchmarks;
- Predictive maintenance indicators;
- Grid participation readiness estimates.
8.2 Limitations and Disclaimers
Household Intelligence outputs are estimates only. They should not be used as the sole basis for emergency response, security decisions, medical decisions, utility billing disputes, insurance claims, legal proceedings, property transactions, or any other situation where inaccurate information could result in injury, financial loss, or other significant harm.
Specifically, you acknowledge that:
- Occupancy estimates do not constitute verified presence or absence of individuals and are not suitable for security system applications;
- Anomaly flags do not replace professional inspection, certified leak detection, or licensed contractor assessment;
- Energy and water efficiency scores are relative benchmarks and may not reflect actual utility billing;
- Predictive maintenance indicators are suggestions, not professional maintenance recommendations;
- All Household Intelligence outputs may contain errors, omissions, or inaccuracies.
8.3 No Emergency Services
FLIP HOUSE NETWORK IS NOT AN EMERGENCY RESPONSE SYSTEM. WE DO NOT MONITOR YOUR HOME FOR EMERGENCIES AND DO NOT CONTACT EMERGENCY SERVICES ON YOUR BEHALF. IF YOU BELIEVE THERE IS AN EMERGENCY AT YOUR PROPERTY, CONTACT APPROPRIATE EMERGENCY SERVICES (911 OR YOUR LOCAL EQUIVALENT) IMMEDIATELY.
9. User Ownership and Data Rights
9.1 Your Data, Your Ownership
As between you and Flip House Network, you retain all rights you have in the data you submit to the Service. Nothing in these Terms transfers ownership of your data to us. You grant us only the limited rights and licenses expressly described in these Terms. Flip House Network is transparent that data sales are central to how the Service operates and how homeowners may be compensated for their participation.
9.2 License to Operate
By using the Service and connecting your devices and utility accounts, you grant Flip House Network a non-exclusive, worldwide, royalty-free license to access, collect, process, store, use, and sell your data for the following purposes: (a) providing and improving the Service; (b) generating Household Intelligence outputs for your benefit; (c) contributing your data, in anonymized and aggregated form, to the Flip House Network Data Marketplace as described in Section 9.3; (d) making your individual household metadata available to enterprise buyers through the Data Marketplace, subject to your separate affirmative consent as described in Section 9.6; and (e) fulfilling our legal obligations. The license in subsection (d) is granted only upon your separate opt-in and may be revoked at any time. Any compensation to you, where offered, is provided only as expressly described in Section 9.4 (individual household data) and Section 10 (rewards); the license granted in this Section 9.2 is otherwise royalty-free.
9.3 Aggregated and Anonymized Data
By participating in the Service, you authorize Flip House Network to use Metadata derived from your household - pseudonymized (replacing direct identifiers with tokens), de-identified (processed to remove or obscure all reasonably linkable information), and combined with data from other participants - to generate market-level insights, research outputs, and enterprise data products. This pseudonymized and de-identified aggregated data does not identify you personally and is processed to meet applicable legal standards for de-identification prior to sale. Flip House Network intends to make this aggregated data available to enterprise buyers such as utilities, real estate firms, insurers, researchers, and other commercial entities. Your participation in aggregated data sales is a condition of using the Service; if you do not wish to participate, you should not use the Service. You will not receive individual compensation for your contribution to aggregated data products, but your participation supports the rewards and incentive programs described in Section 10.
9.4 Individual Household Data Sales
In addition to aggregated data products, Flip House Network may make individual household metadata available to enterprise buyers through the Data Marketplace. Individual household data is metadata associated with your specific property - for example, your home's energy consumption profile, device activity patterns, or occupancy estimates - but does not include direct personal identifiers such as your name, email address, or account credentials unless you separately consent to their inclusion. Because individual household data relates to a single property, Flip House Network applies additional safeguards and does not represent that such data can never be linked to a household under any circumstances.
Individual household data is not sold without your separate, affirmative opt-in consent. Each category of individual data sharing requires its own consent action. You may grant or revoke consent for individual data sales at any time through your account settings. Revocation applies prospectively and does not affect data already sold under a prior consent.
When you consent to individual data sales, you may be eligible to receive rewards, credits, or future GRESH coordination asset allocations as described in Section 10. The availability and amount of any compensation is not guaranteed and is subject to change.
9.5 Data Portability and Deletion
You have the right to:
- Request a copy of your data in a portable format;
- Request correction of inaccurate data;
- Request deletion of your account and associated personal data, subject to our data retention obligations;
- Revoke consent for individual household data sales at any time, prospectively;
- Disconnect any or all third-party services at any time through your account settings.
To exercise these rights, contact us at privacy@fliphousenetwork.com. We will respond to verified requests within 30 days or within the time period required by applicable law.
9.6 Consent Architecture Summary
For clarity, the following summarizes the consent structure governing data use:
- Aggregated Data Sales: Automatic upon account creation. Required for Service access. No individual opt-in needed. You may opt out only by closing your account.
- Individual Household Data Sales: Opt-in required. Not automatic. You may grant or revoke per category at any time. Compensation may be associated with individual data consent.
- GRESH / Reward Program Participation: Opt-in required. Governed by Section 10 and applicable program terms.
9.7 No Sale of Personal Information
Flip House Network does not sell, rent, or otherwise transfer the following categories of personal information to any third party under any circumstances:
- Your name;
- Your email address;
- Your phone number;
- Your physical address or property address;
- Your account credentials or passwords;
- Your government-issued identification numbers; or
- Any other directly identifying personal information as defined under applicable privacy law.
What is sold through the Data Marketplace is Metadata as defined in Section 2 - operational and behavioral signals from connected devices and utility services - not your identity. This commitment applies regardless of your consent settings and cannot be overridden by any in-app election.
10. Rewards, Beta Participation, and GRESH
10.1 Rewards Program Overview
Flip House Network may, from time to time, offer rewards, incentives, or recognition to Users who participate in the Service, contribute data, or achieve certain milestones. Current or future rewards may include platform credits, third-party incentives, or participation in the Gremium Network's GRESH coordination asset program.
10.2 No Guarantee of Rewards
Participation in the Service does not guarantee any reward. Rewards are offered at our sole discretion and are subject to change, suspension, or discontinuation at any time without prior notice. Past availability of rewards does not create any obligation on our part to continue offering rewards.
10.3 GRESH Coordination Asset
GRESH is a coordination asset issued on the Solana blockchain as part of the Gremium Network ecosystem. GRESH is designed to function as a contribution recognition mechanism - not as an investment vehicle, security, or currency. The following applies to any future GRESH participation:
- No financial returns: GRESH is not an investment. Participating in activities that generate GRESH does not constitute an investment of money in a common enterprise with an expectation of profit from the efforts of others.
- No guaranteed value: GRESH may have no monetary value, market value, or exchange value at any time. Any value that GRESH may acquire in secondary markets is speculative and not guaranteed by Flip House Network or any affiliated entity.
- Regulatory uncertainty: The regulatory treatment of blockchain-based assets is evolving and varies by jurisdiction. You are solely responsible for determining your tax obligations, legal obligations, and regulatory compliance with respect to any GRESH you may receive.
- No token sale: Flip House Network does not offer GRESH in exchange for payment. GRESH, if distributed, is earned through participation and contribution.
- Subject to change: The GRESH program, including earning mechanisms, allocation amounts, vesting schedules, and participation criteria, may change at any time.
10.4 Future Token Program Participation
If Flip House Network introduces a formal token or rewards program, eligibility will be governed by the terms of that program as published at the time of introduction. Early Beta participants may receive priority access or founding contributor status, but no specific allocation, schedule, or value is promised or implied.
11. Beta Program
11.1 Beta Status
The Service is currently in a pre-launch Beta phase (the "Beta Program"). During the Beta Program, the Service is provided for testing and feedback purposes. Features, functionality, data availability, and Household Intelligence outputs may be incomplete, inaccurate, unstable, or subject to significant change.
11.2 Beta Participant Acknowledgments
As a Beta participant, you acknowledge and agree that:
- The Service may contain bugs, errors, and instabilities that could affect data accuracy, device connections, or Service availability;
- Features demonstrated or described during Beta may not appear in the final commercial version of the Service;
- Your Household Intelligence outputs during Beta may be less accurate than outputs from the commercial Service;
- Flip House Network may suspend, reset, or terminate the Beta Program at any time;
- Data collected or generated during Beta may not carry over to the commercial Service;
- Beta participation does not guarantee access to the commercial Service or any future features.
11.3 Feedback
As a Beta participant, you may be asked to provide feedback about the Service. By submitting feedback, you grant us a perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize that feedback without obligation to you. You waive any moral rights in the feedback to the extent permitted by law.
11.4 Founding Beta Cohort
Members of the Founding Beta Cohort are the first homeowners admitted to the Beta Program. Founding Beta Cohort membership may entitle participants to benefits, recognition, or priority access as described in the onboarding materials provided at the time of Beta admission. These benefits are non-transferable and are subject to the terms of this Agreement.
12. User Responsibilities
12.1 Accuracy of Information
You are responsible for ensuring that the information you provide to Flip House Network - including property information, device registrations, and utility account connections - is accurate and up to date.
12.2 Maintaining Connected Accounts
You are responsible for maintaining your connected third-party accounts in good standing. If a connected account is suspended, terminated, or otherwise becomes inaccessible, we may be unable to collect data from that account, which may affect your Household Intelligence outputs and any associated rewards or participation.
12.3 Authorized Use Only
You agree to use the Service only for lawful purposes and only to connect accounts and devices that you own or are authorized to connect. You agree not to:
- Connect devices or accounts belonging to others without their written consent;
- Attempt to access, manipulate, or interfere with data belonging to other Users;
- Use the Service to conduct surveillance of other individuals without their consent;
- Introduce malware, viruses, or harmful code into the Service;
- Attempt to reverse engineer, decompile, or extract proprietary technology from the Service;
- Use automated tools, bots, or scripts to access the Service in ways not authorized by us;
- Resell, sublicense, or otherwise commercialize access to the Service without our written consent;
- Violate any applicable local, state, federal, or international law or regulation.
12.4 Disconnecting Services
You may disconnect any connected third-party service from your Flip House Network account at any time through your account settings. Disconnection will halt future data collection from that service. Previously collected data will be handled in accordance with our Privacy Policy and your applicable data rights.
13. Intellectual Property
13.1 Our Intellectual Property
The Service, including all software, algorithms, user interfaces, visual design, trademarks, logos, brand elements, Household Intelligence methodologies, Connector architecture, and proprietary data models, is owned by or licensed to Flip House Network and is protected by applicable intellectual property laws. These Terms do not transfer any intellectual property rights to you.
13.2 Limited License to Users
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial use and in accordance with these Terms. This license does not include the right to sublicense, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the Service.
13.3 Your Content
You retain all rights in any content you create or upload through the Service. By submitting content to the Service, you grant us a limited license to host, display, and distribute that content as necessary to provide the Service. We do not claim ownership of your content.
13.4 Feedback
See Section 11.3 regarding the license granted for Beta feedback. This applies to all feedback provided to Flip House Network, whether during Beta or the commercial Service.
13.5 Copyright Policy
We respect intellectual property rights and expect Users to do the same. If you believe that content available through the Service infringes your copyright, please contact us at legal@fliphousenetwork.com with a description of the allegedly infringing content and evidence of your ownership.
14. Acceptable Use
In addition to the restrictions in Section 12, you agree not to use the Service in any manner that:
- Violates any applicable law or regulation, including data protection laws, consumer protection laws, or laws governing the use of utility services;
- Is fraudulent, deceptive, or misleading;
- Infringes the intellectual property, privacy, or other rights of any third party;
- Is harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable;
- Interferes with or disrupts the integrity or performance of the Service or the servers or networks connected to the Service;
- Attempts to gain unauthorized access to any system, network, or data;
- Impersonates any person, organization, or entity;
- Collects or harvests information about other Users without their consent;
- Facilitates surveillance or monitoring of any individual without their knowledge and consent.
We reserve the right to investigate suspected violations of this Section and to take any action we deem appropriate, including suspension or termination of your account and referral to law enforcement.
15. Service Availability and Modifications
15.1 No Uptime Guarantee
We strive to maintain high Service availability, but we do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, technical issues, third-party service disruptions, natural disasters, or other factors beyond our control.
15.2 Service Modifications
We reserve the right to modify, suspend, or discontinue the Service (or any portion thereof) at any time, with or without notice. We will not be liable to you for any modification, suspension, or discontinuation of the Service.
15.3 Third-Party Dependencies
The Service depends on connections to third-party services and APIs that are outside our control. Disruptions to those third-party services may affect the availability, accuracy, or completeness of the Service without constituting a breach of these Terms.
15.4 New Device Categories and Data Types
From time to time, Flip House Network may introduce support for new categories of devices, sensors, or data sources not listed in Section 5 at the time you joined the Service. Before collecting any new category of Metadata through a new device type or integration, we will:
- Provide advance notice via email or in-app notification describing the new device category and the Metadata to be collected;
- Update the Terms of Service and Privacy Policy accordingly, with a new effective date; and
- Require affirmative re-consent if the new category falls within the individual household data program described in Section 9.4.
You may decline to connect new device categories. Declining will not affect your access to existing connected devices or features.
16. Fees and Payment
16.1 Current Beta Pricing
During the Beta Program, the Service is offered at no charge to Founding Beta Cohort members. We reserve the right to introduce fees for the Service upon transition to commercial availability. We will provide reasonable advance notice before introducing fees to existing Beta participants.
16.2 Future Commercial Terms
If a fee-based subscription or transaction model is introduced, the applicable fees, billing terms, cancellation policy, and refund policy will be set forth in supplemental terms or updated Terms of Service at that time. Your continued use of a fee-based Service will constitute acceptance of those terms.
17. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLIP HOUSE NETWORK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, DATA ACCURACY, AND SECURITY.
We do not warrant that:
- The Service will meet your requirements;
- The Service will be uninterrupted, timely, secure, or error-free;
- The results obtained from the Service, including Household Intelligence outputs, will be accurate, reliable, or complete;
- Any defects in the Service will be corrected;
- The Service or the servers that make it available are free of viruses or other harmful components.
Some jurisdictions do not allow the exclusion of implied warranties. If you are located in such a jurisdiction, some of the above exclusions may not apply to you. To the fullest extent permitted by applicable law, you assume all risks arising from your use of the Service, including any reliance on Household Intelligence outputs.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLIP HOUSE NETWORK, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES - INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES - ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for all claims arising out of or related to these Terms or the Service will not exceed the greater of: (a) the amount you paid us in the twelve months preceding the claim; or (b) one hundred dollars ($100.00).
The limitations above apply regardless of the legal theory on which a claim is based, including contract, tort, negligence, strict liability, or any other basis.
Some jurisdictions do not allow limitations on liability for certain types of damages. If you reside in such a jurisdiction, some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
19. Indemnification
You agree to defend, indemnify, and hold harmless Flip House Network and its officers, directors, employees, contractors, agents, partners, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Service;
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Your violation of any rights of a third party, including privacy rights, intellectual property rights, or property rights;
- Your connection of accounts or devices to which you are not authorized;
- Any content you submit, post, or transmit through the Service.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of any such claim. You agree not to settle any such claim without our prior written consent.
20. Privacy and Data Protection
Your use of the Service is governed by our Privacy Policy, available at www.fliphousenetwork.com/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information in accordance with our Privacy Policy.
In the event of a conflict between these Terms and the Privacy Policy, the Privacy Policy will govern with respect to data collection, use, and sharing practices.
If you are a resident of California, you may have additional rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). If you are a resident of another state or country with comprehensive privacy legislation, additional rights may apply. Please review our Privacy Policy for more information.
21. Termination
21.1 Termination by You
You may terminate your account at any time by contacting us at support@fliphousenetwork.com or by using the account deletion feature in your account settings (when available). Termination will result in the deactivation of your account and the deletion of your personal data in accordance with our Privacy Policy.
21.2 Termination by Us
We may suspend or terminate your account or access to the Service at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms;
- Unauthorized use of third-party accounts or devices;
- Conduct that we determine is harmful to other Users, third parties, or Flip House Network;
- Fraud, misrepresentation, or illegal activity;
- Technical, security, or operational reasons;
- Discontinuation of the Service.
21.3 Effect of Termination
Upon termination, your license to use the Service will immediately end. We will handle your data in accordance with our Privacy Policy. Sections that by their nature should survive termination - including Sections 6, 7, 12, 16, 17, 18, 20, 21, and 22 - will survive.
22. Governing Law and Dispute Resolution
22.1 Governing Law
These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of Texas, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
22.2 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at legal@fliphousenetwork.com and attempt in good faith to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving notice.
22.3 Binding Arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (excluding claims for injunctive or other equitable relief) will be resolved by binding arbitration administered by JAMS (or a mutually agreed alternative arbitration administrator) in accordance with its Commercial Arbitration Rules. The arbitration will be conducted in Coryell County, Texas, or remotely by mutual agreement. The arbitrator's decision will be final and binding.
22.4 Class Action Waiver
YOU AND FLIP HOUSE NETWORK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any form of a class or representative proceeding.
22.5 Exceptions
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the unauthorized use of intellectual property, data, or the Service.
22.6 Survival of Dispute Resolution Provisions
If any portion of this Section 22 is found to be unenforceable - including the arbitration clause, the class action waiver, or any individual component thereof - the remaining provisions of this Section shall remain in full force and effect to the fullest extent permitted by applicable law. The unenforceability of any single provision shall not affect the enforceability of the remaining provisions.
23. Artificial Intelligence and Model Limitations
23.1 Nature of AI-Generated Outputs
Household Intelligence is generated using machine learning models, statistical algorithms, and other artificial intelligence techniques trained on aggregated Metadata patterns. These models are probabilistic in nature. They identify correlations and generate estimates - they do not directly observe your home or guarantee accuracy.
23.2 Model Evolution
The models underlying Household Intelligence may be updated, retrained, replaced, or retired over time as the platform evolves, data quality improves, or new analytical techniques become available. Model updates may change the nature, accuracy, or availability of specific Household Intelligence outputs. We will provide notice of material changes to outputs as described in Section 1, but we are not required to maintain any particular analytical model indefinitely.
23.3 No Reliance
You should not rely on Household Intelligence outputs as your sole basis for decisions about your property, safety, finances, or utility usage. All outputs should be independently verified where accuracy matters. Household Intelligence is intended to provide informational insights only and is not used to make legally significant decisions about you without additional human review. See also Section 8 (Household Intelligence Disclaimers).
24. Regulatory Compliance and Service Modifications
The legal and regulatory landscape governing privacy, data sales, utility data access, artificial intelligence, and blockchain-based assets is evolving. Flip House Network may, at any time and without advance notice where legally required, modify, suspend, or discontinue any feature or aspect of the Service in order to comply with applicable law, including but not limited to:
- State or federal privacy laws affecting the collection, sale, or use of smart home or utility data;
- Regulations governing the use of artificial intelligence or automated decision-making;
- Regulations affecting utility data programs such as Smart Meter Texas or similar state-authorized data access frameworks;
- Securities regulations or guidance affecting blockchain-based coordination assets including GRESH; and
- Any other federal, state, or local law or regulatory guidance applicable to our operations.
We will not be liable for any modification, suspension, or discontinuation of the Service made in good faith to achieve regulatory compliance.
25. General Provisions
25.1 Entire Agreement
These Terms, together with the Privacy Policy and any supplemental terms applicable to specific features or programs, constitute the entire agreement between you and Flip House Network regarding the Service and supersede all prior agreements, representations, and understandings.
25.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be so modified, and the remaining provisions will continue in full force and effect.
25.3 Waiver
Our failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce that provision or any other provision in the future.
25.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets without your consent. These Terms will be binding on any permitted successors and assigns.
25.5 Force Majeure
We will not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, internet disruptions, utility failures, labor disputes, or other similar events.
25.6 Notices
We may provide notices to you via email, in-app notification, or by posting to the Service. You may provide notices to us at the contact information in Section 26. Notices sent by email are effective upon transmission; notices posted to the Service are effective upon posting.
25.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. No third party may enforce any provision of these Terms.
25.8 Headings
Section headings are included for convenience only and do not affect the interpretation of these Terms.
25.9 Export Controls and Sanctions
The Service is operated from the United States and is intended primarily for use by U.S. residents. You agree to comply with all applicable U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the sanctions programs administered by the U.S. Office of Foreign Assets Control (OFAC). You represent that you are not located in a country subject to a U.S. government embargo and are not listed on any U.S. government restricted-party list. If you access the Service from outside the United States, you are responsible for compliance with all applicable local laws.
25.10 Security Vulnerability Disclosure
If you discover a potential security vulnerability in the Service or any Connector, you agree to notify us promptly at security@fliphousenetwork.com and to refrain from publicly disclosing the vulnerability until Flip House Network has had a reasonable opportunity - not less than 30 days from your notice - to investigate, assess, and remediate the issue. This responsible disclosure commitment applies to vulnerabilities in our APIs, Connectors, data pipelines, and any other system component.
25.11 API and Connector Access
Access to any Flip House Network API or Connector is governed by these Terms and any separate API documentation, developer agreement, or access terms provided at the time of access. We may limit, throttle, suspend, or permanently revoke API or Connector access at any time, with or without notice, for any reason including abuse, security concerns, or policy violations. We are not liable for any disruption to your integration resulting from such action.
25.12 Corporate Transactions
These Terms remain binding on both parties following any merger, acquisition, asset sale, corporate reorganization, or change of control involving Flip House Network. In the event of such a transaction, we will provide notice to Users and, where required by applicable law, obtain any necessary consent before transferring your personal information to a successor entity.
25.13 No Partnership or Agency
Nothing in these Terms creates any partnership, joint venture, employment relationship, agency relationship, fiduciary duty, or franchise between you and Flip House Network. You are an independent party using the Service under these Terms. Neither party has the authority to bind the other to any obligation not expressly set forth in these Terms.

By accessing or using Flip House Network, you acknowledge that you have read these Terms of Service in their entirety, that you understand them, and that you agree to be bound by them.
